Article I
NAME: The name of this organization shall be Rose-Hulman Women's Club.
Article II
PURPOSE: This Club shall be a voluntary association for the purpose of promoting friendliness and sociability among the women of Rose-Hulman, and to represent Rose-Hulman women to the school and community.
Article III
MEMBERSHIP: The members of this Club shall be women employed by Rose-Hulman and any woman married to a Rose-Hulman employee. Any retired woman employee or widows or wives of retired employees shall also be members.
Article IV
OFFICERS: The officers of this Club shall consist of President, Vice-President, Secretary, Treasurer, Publicity Chairman, and their duties shall be such as are normally prescribed for the offices involved, with the addition of such special duties as are listed in the Bylaws. The officers shall be elected yearly by a two-thirds majority of the membership present at the Annual Meeting and shall take office at the close of said meeting. Their term of office shall terminate when their successors are elected.
Article V
EXECUTIVE BOARD:
1. The Executive Board shall consist of the five officers and two past president of the Club.
2. The two past presidents shall be appointed to the Board by the President.
3. One-third of the Executive Board shall constitute a quorum.
4. The duties of the Executive Board shall be to establish the program for the year, appoint members to serve on committees for each meeting and special events, and to act for the Club in any emergency when a full meeting of the membership cannot be called.
5. Rose-Hulman Women's Club shall be governed by rules contained in Robert's Rules of Order Revised in all cases to which they are applicable and in which they are not inconsistent with the bylaws or special rules of order of this society.
Article VI
COMMITTEES:
1. Nomination Committee -- This committee shall be appointed by the President with the approval of the Executive Board and announced at the first business meeting following January 1. There shall be three members on this committee.
2. Standing Committees -- Standing Committees may be appointed as needed by the President.
Article VII
MEETINGS:
1. Regular meetings shall be held once a month from September through May except for special occasions which require other plans.
2. The Annual Meeting shall be held at a regular Spring meeting.
3. One-sixth of the Club membership shall constitute a quorum.
Article VIII
AMENDMENTS: This Constitution may be amended at any meeting provided:
1. Notice of such intention is given at the regular meeting of the preceding month, or
2. Written or telephone notification of such intention is given one week in advance of a meeting for this purpose, and
3. There can be obtained a two-thirds majority vote of those present at the meeting for this purpose.
BYLAWS
I. Dues
-- Dues are payable on or before October 1, for the school year, by the members of the Club. Any change in the annual dues shall be determined by vote of the Club at the suggestion of the Executive Board at the first business meeting in the Fall. The first year of membership requires no dues.
II. Special Duties of Officers:
1. Each officer shall submit to her successor a resume of her year's work by the end of the school year.
2. The President shall have the authority, with the approval of the Executive Board, to appoint new officers and new committee members to fill vacancies which may occur.
The President shall have the authority to act in an emergency for the Executive Board if she cannot obtain a quorum of said Board.
The President shall serve as ex-officio member of all committees.
The President shall have available a copy of the Constitution and Bylaws for interpretation at all scheduled business meetings.
3. The Vice-President shall work with and advise the Program Chairman of each meeting and special event and organize Interest Groups.
4. The Courtesy Committee shall be responsible for sending cards to Club members in the event of serious illness, a death in the immediate family, or the birth of a baby.
III. Student Wives' Club
-- Two members of the Rose-Hulman Women's Club shall act as advisors to the Student Wives' Club and be present at all their regular meetings. Oral reports concerning the Student Wives' Club's activities shall be given to the Club membership at monthly meetings.
IV. Special Activities:
1. Chairmen of special event committees shall make a detailed report to the Club President.
2. Proposals for new activities shall be presented to the membership at least one month prior to consideration.
V. Amendments
-- These Bylaws may be amended by a majority vote of those present at a meeting, provided notification of such intention is given prior to the meeting.
